Wire & Wood Terms of Service

These Terms of Service ("Terms") govern your access to and use of Wire & Wood ("Wire & Wood," "we," "us," or "our"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use Wire & Wood.
1. What Wire & Wood Is — and Is Not
Wire & Wood is a platform that lets you catalog electric guitars, acoustic guitars, and bass guitars; build a timestamped provenance history; and generate shareable certificates reflecting the information you and, where applicable, invited third parties have documented.
Wire & Wood does not independently appraise, authenticate, inspect, or verify the accuracy of any instrument, document, or claim. Every certificate states: Wire & Wood records and timestamps what owners document; it does not independently appraise or authenticate instruments.
Any tier of documentation shown on the platform (self-logged, document-supported, or third-party expert input) reflects information supplied by users or invited third parties, not an assessment made or guaranteed by Wire & Wood. You are solely responsible for evaluating the accuracy and reliability of any instrument's history before relying on it — including before buying, selling, insuring, or valuing an instrument.
2. Eligibility and Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Subscriptions, Fees, and Billing
Wire & Wood offers a Free tier and paid subscription tiers, each with a maximum number of instruments you may log. Current tiers and pricing are shown on the Billing page and may change from time to time with notice.
Your plan determines how many instruments you may actively edit and add records to. If your instrument count exceeds your current plan's limit — including after a downgrade — the oldest instruments up to your plan's limit remain fully editable; instruments beyond that limit remain visible and shareable but become read-only until you upgrade or reduce your active count. Instruments marked sold are always read-only.
Subscription payments are billed in advance on a recurring monthly basis and processed by Stripe. By subscribing, you authorize us to charge your chosen payment method until you cancel. You may upgrade, downgrade, or cancel your subscription at any time through the Billing page. Changes may be prorated as shown at checkout.
Certificate generation is billed separately as a one-time fee per certificate, charged at the time you request it, regardless of your subscription tier.
All fees are non-refundable except where required by law or expressly stated otherwise. We are not responsible for the security practices of Stripe or any other third-party payment processor, though we select providers that maintain industry-standard compliance.
4. Your Content
You retain ownership of the photos, descriptions, stories, build notes, acquisition details, private originality notes, uploaded third-party documents, and other content you upload ("Your Content"). By uploading Your Content, you grant Wire & Wood a non-exclusive, worldwide, royalty-free license to store, display, reproduce, and distribute Your Content as necessary to operate the service — including displaying public fields on certificates and public verification pages you choose to generate, and conducting internal database searches as authorized under these Terms and our Privacy Policy.
You represent that you have the right to upload and share Your Content, and that it does not infringe on any third party's rights or contain unlawful or fraudulent material.
5. Public Certificates and Verification Pages
When you generate a certificate, certain information about the instrument (as described in our Privacy Policy) becomes accessible via a public link to anyone who has it, without requiring an account. You are responsible for deciding what information to include in an item's story, build notes, and photos, understanding that this information may become publicly viewable once a certificate is issued.
Certificates are permanent snapshots. Once issued, a certificate's content cannot be edited, and can only be marked as revoked — it cannot be deleted or hidden retroactively, and previously shared links may continue to be accessible even after revocation, clearly marked as revoked.
6. Ownership Transfer
Wire & Wood allows you to initiate a transfer of an item's record to another user. You are solely responsible for the accuracy of the recipient's contact information and for any underlying sale, gift, or transfer agreement between you and the recipient — which is a matter between you and that person. Wire & Wood is not a party to, and assumes no responsibility for, any transaction, dispute, or disagreement arising from an ownership transfer.
7. Third-Party Expert Certification and the Insurance Directory
Where the platform allows you to invite a luthier, dealer, or other third party to provide input on an item, any resulting report, opinion, or certification reflects that third party's own assessment and professional judgment — not Wire & Wood's. We do not vet, credential, or guarantee the qualifications of any such third party, and we assume no liability for the accuracy of their input.
The Insurance page is provided for general reference only. Wire & Wood is not affiliated with, does not endorse, and receives no compensation from any company listed. We do not provide insurance advice, and you should independently evaluate any insurer's terms, coverage, and reputation before purchasing a policy.
8. Account Deactivation ("Going Dark")
You may deactivate your account at any time from Account Settings. Deactivation stops billing and blocks your ability to log in, but does not delete your data — your items, photos, provenance history, and issued certificates remain intact and continue to be publicly verifiable, consistent with the permanent-record purpose of the platform. Wire & Wood does not offer permanent account or data deletion for this reason.
You acknowledge and agree that accounts that have "gone dark" (whether deactivated by you or suspended by us) remain indexed in internal administrative search tools to maintain the integrity of lost, stolen, and disputed instrument lookups. To reactivate a deactivated account, contact us through the Contact / Feedback form.
9. Prohibited Conduct
You agree not to:
- Upload false, fraudulent, stolen, or misleading information about an instrument's identity, serial number, acquisition history, or ownership
- Catalog or log instruments that you know to be stolen or subject to illegal possession
- Impersonate another person or misrepresent your affiliation with any entity
- Attempt to interfere with, disrupt, or gain unauthorized access to the platform, other users' accounts, or our systems
- Use the platform for any unlawful purpose or to facilitate stolen property trafficking
- Upload content that infringes on any third party's intellectual property or other rights
We reserve the right to suspend or terminate accounts that violate these Terms, at our discretion.
10. Lost, Stolen, and Disputed Instruments; Platform Investigations
Wire & Wood acts as a digital ledger and provenance tracking tool. While we do not independently audit every entry, maintaining platform integrity requires clear rules regarding lost, stolen, or fraudulently logged items:
a. Consent to Administrative Investigation & Database Searches
By using the platform, you acknowledge and agree that Wire & Wood reserves the right — at its sole discretion — to conduct internal administrative searches of database records (including serial numbers, provenance timelines, private acquisition data, uploaded documents, and active or inactive / "gone dark" accounts) to investigate reports of stolen instruments, fraudulent listings, or ownership disputes.
b. Account Restrictions and Temporary Holds
If an instrument registered under your account is reported as lost, stolen, or disputed by law enforcement, another user, or a verified third party, Wire & Wood reserves the right to:
- Place a temporary administrative lock or restriction on the affected instrument record or account
- Suspend pending ownership transfers for the item
- Mark public certificate snapshots or verification links with an administrative status flag (e.g., "Disputed" or "Under Inquiry")
c. Cooperation with Law Enforcement and Legal Process
You expressly consent to Wire & Wood disclosing account information, provenance histories, certificate snapshots, and — where compelled by formal legal process (such as a subpoena, warrant, or court order) — private acquisition details and uploaded authentication documentation to law enforcement agencies, judicial authorities, or legal representatives. Disclosures are executed in strict accordance with the tiered privacy controls outlined in our Privacy Policy.
d. No Obligation to Arbitrate or Act as Law Enforcement
Wire & Wood provides administrative search and reporting features as a court-of-record utility, not as a private law enforcement agency, appraisal service, or dispute resolution body. Wire & Wood has no affirmative duty to resolve ownership disputes, locate missing property, or act on informal, unverified third-party claims. Ownership disputes must be resolved between the affected parties or through formal legal channels.
11. Disclaimer of Warranties
WIRE & WOOD IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION DISPLAYED ON THE PLATFORM — INCLUDING CERTIFICATES, PROVENANCE HISTORY, OR THIRD-PARTY INPUT — IS ACCURATE, COMPLETE, OR RELIABLE.
WE EXPRESSLY DISCLAIM LIABILITY FOR ANY ADMINISTRATIVE ACTIONS TAKEN IN GOOD FAITH REGARDING LOST, STOLEN, OR DISPUTED INSTRUMENT INVESTIGATIONS, INCLUDING TEMPORARY ACCOUNT HOLDS, CERTIFICATE DISPUTE FLAGS, OR LAWFUL DISCLOSURES TO LAW ENFORCEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICOWISH LLC AND WIRE & WOOD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE — INCLUDING ANY RELIANCE ON A CERTIFICATE, PROVENANCE RECORD, THIRD-PARTY EXPERT INPUT, INSURANCE DIRECTORY LISTING, OR PLATFORM LOST/STOLEN INVESTIGATION — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Licowish LLC and Wire & Wood from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the service, Your Content, your violation of these Terms, or your violation of any rights of another person or entity (including claims related to disputed ownership or stolen property logged under your account).
14. Termination
We may suspend or terminate your access to the service at any time for violation of these Terms. You may stop using the service at any time by deactivating your account as described in Section 8.
15. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a revised "Last Updated" date. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, unless otherwise required by applicable law.
